    EBITDA

    $750k+ firm

    Hard floor. Below this, the business cannot support reinvestment in equipment, people, and systems while servicing acquisition financing. No exceptions.

    Revenue

    $3M+ typical

    $3M is the typical floor, but revenue is EBITDA-led. A smaller business with strong margins and $750k+ EBITDA can absolutely fit. We care about earnings power, not size for its own sake.

    Geography

    Continental United States

    Where we can operate directly and assemble the right local network of operators, attorneys, and capital partners. Firm boundary.

    Industries

    Five verticals

    Non-emergency medical transportation. Healthcare services. Residential and commercial services with a commercial weighting. Multi-unit independent restaurants (5+ locations). Managed service providers (MSPs) with recurring revenue and a substantial customer base.

    Operator situation

    GM or President in place

    Strong preference for businesses where a general manager, president, or operating leader is already running day-to-day. We back that operator and free up capital for the founder's exit, we don't replace them with ourselves.

    Hold horizon

    Ten years

    Long enough that operating decisions, retention, equipment, systems, customer experience, actually compound before any exit pressure intrudes.

    Owner situation

    Retirement, partial exit, distressed, or turnaround

    We engage where the seller wants a thoughtful steward, including retirement, partial exits, owner-operator transitions, and where operational discipline is the cure: distressed sales, turnarounds, and asset-only transactions.
